Terms and Conditions of Service

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. BY ACCESSING OR USING THE PLATFORM YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

THE SERVICE IS NOT A MEDICAL SERVICE AND DOES NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS OR TREATMENT. CONSULT YOUR GP OR A QUALIFIED HEALTHCARE PROFESSIONAL BEFORE MAKING ANY HEALTH DECISIONS.

1. Interpretation and Definitions

1.1 In these Terms, the following definitions apply:

“Affiliate Commission” means a commission earned by SNUK AI when you purchase a Recommended Product through a tracked affiliate link, as further described in clause 3.

“AI Agent” means the artificial intelligence voice and text coaching agent made available through the Platform, powered by large language models and AI voice synthesis technology.

“Check-In Data” means the smoking, nicotine use, mood, craving, and lifestyle data you submit via the twice-daily check-in functionality.

“Consumer” means a natural person acting outside of any trade, business, craft, or profession, within the meaning of the Consumer Rights Act 2015.

“Commencement Date” means the date on which you submit the onboarding form and we confirm your registration by email.

“Data Protection Legislation” means the UK GDPR (as retained in UK law by the European Union (Withdrawal) Act 2018), the Data Protection Act 2018, the Privacy and Electronic Communications (EC Directive) Regulations 2003, and all associated guidance issued by the ICO.

“Force Majeure Event” means any circumstance outside a party's reasonable control, including acts of God, flood, drought, earthquake, pandemic, epidemic, terrorist attack, civil war, civil commotion, riot, war, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, breaking off of diplomatic relations, nuclear, chemical or biological contamination, any law or government order, rule, regulation or direction, action taken by a government or public authority, collapse of buildings, fire, explosion or accident, failure of public or private telecommunications networks, or prevention from or hindrance in obtaining raw materials, energy or other supplies.

“Intellectual Property Rights” means all patents, rights to inventions, copyright and related rights, moral rights, trade marks, service marks, business names, domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, database rights, rights to use and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, whether registered or unregistered, and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights, and all similar or equivalent rights or forms of protection subsisting or to be subsisted in, now or in the future, in any part of the world.

“Platform” means the SNUK AI website, mobile application, and any other digital interface through which the Service is made available, accessible at snuk.ai.

“Privacy Policy” means SNUK AI's privacy policy, as updated from time to time and available at snuk.ai/privacy.

“Recommended Product” means a non-nicotine wellness product recommended by the Service, sourced from third-party manufacturers or retailers vetted against our quality standards.

“Service” means the AI-powered combustion reduction programme described in clause 2, including the AI Agent, Check-In Data functionality, Weekly Briefing, and Recommended Product functionality.

“Terms” means these terms and conditions, as amended from time to time in accordance with clause 17.

“User Content” means any text, voice notes, data, or other content you submit to the Platform, including Check-In Data.

“Weekly Briefing” means the personalised AI-generated voice summary of your combustion reduction progress delivered weekly in accordance with clause 9.

“Wellness Budget” means the monthly spending limit you set during onboarding, which the Service uses to filter Recommended Products.

1.2 In these Terms, unless the context otherwise requires: (a) a reference to a statute or statutory provision is a reference to it as amended, extended, or re-enacted from time to time; (b) the singular includes the plural and vice versa; (c) a reference to one gender includes all genders; (d) any words following the terms including, include, in particular, for example, or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase, or term preceding those terms; and (e) clause headings do not affect interpretation.

2. The Service

2.1 SNUK AI provides a free AI-powered combustion reduction programme designed to help adult smokers resident in the United Kingdom reduce and eliminate their exposure to combusted tobacco.

2.2 The Service comprises: (a) the AI Agent for voice and text coaching; (b) personalised Check-In Data collection and analysis; (c) combustion reduction tracking; (d) educational content; (e) the Weekly Briefing; and (f) budget-aware Recommended Product suggestions.

2.3 The Service is not a medical service. It does not constitute, and must not be relied upon as, medical advice, diagnosis, or treatment. It is an educational and behavioural coaching programme for informational purposes only. You must consult your GP or a suitably qualified healthcare professional before making any decisions about your health, and in particular if you are pregnant, breastfeeding, have a pre-existing medical condition, or are taking medication.

2.4 SNUK AI's mission is to achieve zero combustion. Combusted tobacco is the primary driver of smoking-related harm. Every verified reduction in combustion is a measurable improvement, and the Service is designed to support and sustain that reduction.

2.5 The Service is provided free of charge to eligible users. SNUK AI reserves the right to introduce optional paid features in accordance with clause 3.3 without affecting access to the free Service.

2.6 SNUK AI reserves the right to modify, suspend, or discontinue all or any part of the Service at any time by giving you reasonable notice where practicable. In the event of permanent discontinuation, SNUK AI will give you not less than 30 days' written notice by email.

3. How SNUK AI is Funded — Transparency Disclosure

3.1 Wellness Affiliate Commissions. The Service includes personalised Recommended Products. When you purchase a Recommended Product through our affiliate links, SNUK AI earns an Affiliate Commission from the third-party manufacturer or retailer. This is the primary funding mechanism for the free Service. All affiliate relationships are disclosed at the point of recommendation.

3.2 Budget Controls. We will never recommend any product that exceeds the Wellness Budget you set during onboarding. You may adjust your Wellness Budget at any time by accessing your account settings. We will not make Recommended Product suggestions if you set your Wellness Budget to zero.

3.3 Optional Paid AI Coaching Minutes (Future Feature). We may in future offer you the option to purchase additional AI coaching minutes beyond your free weekly allowance. Any such feature: (a) will be entirely optional; (b) will not reduce or restrict your access to the free Service; and (c) will be subject to separate pricing terms notified to you in advance.

3.4 Charitable Commitment. SNUK AI commits 5% of gross revenue to funding amateur boxing clubs and registered charities across the United Kingdom. This commitment is not contractually enforceable by you.

3.5 We do not sell, licence, broker, or otherwise monetise your personal data to any third party for commercial purposes. See the Privacy Policy for full details.

4. Absolute Prohibition on Nicotine and Tobacco-Related Revenue

4.1 SNUK AI will never receive or accept revenue, commission, referral fees, advertising income, sponsorship, or any other financial benefit — whether directly or indirectly — from the sale, promotion, or advertising of:

  • Cigarettes, cigars, cigarillos, roll-up tobacco, or pipe tobacco
  • Vapes or e-cigarettes of any format or nicotine strength
  • Nicotine pouches
  • Heated tobacco products (including but not limited to IQOS, Glo, and Ploom)
  • Nicotine replacement therapy products (including gum, patches, lozenges, inhalers, and sprays)
  • Any tobacco-related advertising

4.2 This prohibition is absolute and permanent. If SNUK AI becomes aware of any arrangement that would breach this clause, it will take immediate steps to terminate that arrangement.

4.3 If you choose, independently of the Service, to switch to a non-combustion nicotine alternative, the AI Agent will continue to track and acknowledge your combustion reduction. However, SNUK AI will not recommend, endorse, link to, or profit from those alternative products in any circumstances.

5. Eligibility

5.1 You must be aged 18 or over to access or use the Service. The Service is not directed at and must not be used by persons under the age of 18.

5.2 The Service is currently available to residents of the United Kingdom only. You must be ordinarily resident in the United Kingdom at the time of registration and throughout your use of the Service.

5.3 By submitting the onboarding form and accepting these Terms, you represent and warrant that: (a) you are aged 18 or over; (b) you are ordinarily resident in the United Kingdom; and (c) you have the legal capacity to enter into a binding agreement.

5.4 SNUK AI reserves the right to verify your age and residency at any time and to refuse or immediately terminate access without liability if you do not satisfy the eligibility requirements in this clause 5.

6. Account Registration and Onboarding

6.1 To access the Service, you must complete our onboarding form and provide accurate, complete, and current personal information, including your name, email address, and information about your smoking habits.

6.2 During onboarding, you will be asked to: (a) set your Wellness Budget; and (b) select your preferred pace of combustion reduction. This information is used solely to personalise your programme and for the purposes described in the Privacy Policy.

6.3 You represent and warrant that all information you provide during registration and throughout your use of the Service is and shall remain accurate, complete, and current. You must promptly update any information that changes.

6.4 You are responsible for: (a) maintaining the confidentiality of your login credentials; (b) all activities that occur under your account; and (c) notifying us immediately at privacy@snuk.ai if you become aware of any unauthorised access to your account.

6.5 You must not share your account or credentials with any other person. Accounts are personal and non-transferable.

6.6 SNUK AI reserves the right to refuse registration, or revoke an existing registration, at its absolute discretion.

7. AI Agent — Disclosure and Limitations

DISCLOSURE: The SNUK AI coaching agent is an artificial intelligence system. It is not a human being. All voice, text, and coaching interactions are AI-generated. The AI Agent cannot replace professional medical, therapeutic, or psychological advice.

7.1 The AI Agent is powered by large language models and AI voice synthesis technology. While the voice may sound like a human, all interactions are AI-generated without any real-time human involvement.

7.2 The AI Agent may occasionally produce inaccurate, incomplete, outdated, or contextually inappropriate responses. SNUK AI does not warrant the accuracy, completeness, or suitability of any response generated by the AI Agent. You must not rely on AI Agent responses as a substitute for professional medical, therapeutic, psychological, legal, financial, or other professional advice.

7.3 Conversations with the AI Agent are: (a) private to your account; (b) stored securely in accordance with the Privacy Policy; and (c) subject to the confidentiality obligations in clause 12.

7.4 The AI Agent is not a crisis service. If you express thoughts of self-harm, suicide, or are in emotional distress, the AI Agent will direct you to appropriate support services. If you are in immediate danger, please call 999. For urgent mental health support, contact the Samaritans (free, 24/7) on 116 123 or at jo@samaritans.org.

7.5 SNUK AI reserves the right to modify, update, or replace the AI Agent technology at any time without notice, provided that any material changes to the nature of the Service are communicated to you in accordance with clause 17.

8. Wellness Product Recommendations

8.1 The Service includes personalised Recommended Products, sourced from third-party manufacturers and retailers. All third-party suppliers are vetted against SNUK AI's quality standards prior to inclusion in the programme.

8.2 SNUK AI does not manufacture, hold, sell, supply, or fulfil any products. All product purchases are made directly from the relevant third-party retailer. Your purchase contract is formed with that retailer, subject to their own terms and conditions and statutory rights. SNUK AI is not a party to that contract.

8.3 Recommended Products are personalised based on your Check-In Data, combustion reduction progress, and Wellness Budget. We will never recommend a product above your stated Wellness Budget.

8.4 SNUK AI earns Affiliate Commissions on purchases made through affiliate links in accordance with clause 3.1. This is disclosed transparently at each point of recommendation. Your decision to purchase any Recommended Product is entirely voluntary and will not affect the Service you receive.

8.5 SNUK AI will not recommend, endorse, or earn any financial benefit from any nicotine-containing product in any circumstances (see clause 4).

8.6 Each Recommended Product is accompanied by a contextual explanation of why it has been recommended for you at that time. SNUK AI does not make health claims about individual products. Any reference to health benefits relates to the established health benefits of reducing combusted tobacco consumption.

8.7 SNUK AI is not responsible for: (a) the quality, safety, fitness for purpose, or availability of any Recommended Product; (b) any delay, error, or failure in fulfilment by a third-party retailer; or (c) any loss or damage arising from your purchase or use of a Recommended Product. You should contact the relevant retailer directly for product issues, and you retain all statutory rights against that retailer.

9. Check-In Data

9.1 The Service includes twice-daily check-ins (morning and evening) through which you report your smoking and nicotine use, mood, cravings, sleep, and other lifestyle data.

9.2 You may also submit optional voice notes during check-ins. Voice notes are transcribed and analysed using automated systems to personalise your Weekly Briefing.

9.3 You grant SNUK AI a non-exclusive, royalty-free, worldwide licence to process, store, analyse, and use your Check-In Data and User Content for the purposes of: (a) providing the Service; (b) generating your Weekly Briefing; (c) personalising Recommended Products; and (d) improving the Service using anonymised and aggregated data.

9.4 Participation in check-ins is voluntary. Missing a check-in will not result in account suspension. However, the quality of personalisation and your Weekly Briefing will depend on the regularity and accuracy of data you provide.

9.5 You warrant that any User Content you submit: (a) is accurate to the best of your knowledge; (b) does not infringe any third party's rights; (c) does not contain any material that is unlawful, defamatory, offensive, or otherwise objectionable; and (d) does not contain personal data relating to any third party without that person's consent.

10. Weekly Briefing

10.1 You will receive a personalised Weekly Briefing generated using AI voice synthesis. The Weekly Briefing summarises your combustion reduction progress, highlights achievements, identifies areas for improvement, and provides a specific action point for the week ahead.

10.2 Your first Weekly Briefing will be delivered no earlier than 7 days after you begin submitting Check-In Data.

10.3 You may select your preferred day and time for receipt of your Weekly Briefing during onboarding, and update this preference at any time in your account settings.

10.4 The Weekly Briefing is provided as part of the free Service, subject to a weekly time allowance. SNUK AI reserves the right to introduce tiered allowances as part of any optional paid features launched pursuant to clause 3.3, without reducing the free allowance applicable at the date these Terms come into effect.

11. Intellectual Property

11.1 All Intellectual Property Rights in and to the Platform, the Service, the AI Agent, and all content made available through the Platform (including text, graphics, logos, audio, AI-generated voice content, software, data, and compilation of data) are owned by or licensed to SNUK AI Ltd and are protected by applicable copyright, trade mark, database right, and other intellectual property laws.

11.2 Subject to these Terms, SNUK AI grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service and Platform for your personal, non-commercial use in accordance with these Terms. No other rights are granted.

11.3 You must not: (a) copy, reproduce, distribute, modify, translate, create derivative works from, frame, mirror, republish, download, display, transmit, or otherwise exploit any content from the Platform without our prior written consent; (b) remove, obscure, or alter any proprietary notices, labels, or marks; or (c) use any content from the Platform for any commercial purpose.

11.4 ‘SNUK AI’, the SNUK AI logo, and all associated marks and get-up are trade marks of SNUK AI Ltd. Nothing in these Terms grants you any right to use them.

11.5 You retain ownership of your User Content. By submitting User Content, you grant SNUK AI the licence described in clause 9.3. You warrant that you have all necessary rights to grant that licence.

12. Confidentiality of AI Agent Conversations

12.1 Your conversations with the AI Agent are confidential and stored securely in accordance with the Privacy Policy.

12.2 You agree not to: (a) record, screenshot, capture, or otherwise create a fixed copy of any part of your conversation with the AI Agent; (b) reproduce, republish, distribute, transmit, broadcast, or otherwise communicate any part of your conversation to any third party; or (c) publish or make publicly available any part of your conversation on any medium (including social media, messaging platforms, forums, or websites), in each case without our prior written consent.

12.3 SNUK AI will not use identifiable conversation transcripts for any purpose other than providing the Service, except: (a) where required by law, regulation, or court order; (b) where necessary to protect the safety of any person; or (c) as further described in the Privacy Policy.

12.4 SNUK AI may use anonymised and aggregated conversation data for research, product development, and service improvement purposes.

13. Data Protection

13.1 Each party shall comply with its respective obligations under applicable Data Protection Legislation.

13.2 SNUK AI is the data controller in respect of personal data collected and processed through the Service. Details of how SNUK AI collects, uses, stores, and shares your personal data, your rights as a data subject, and how to exercise those rights are set out in the Privacy Policy.

13.3 By using the Service, you acknowledge that you have read the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

13.4 SNUK AI will process your personal data only: (a) where it has a lawful basis for doing so under Data Protection Legislation; and (b) in accordance with the Privacy Policy.

13.5 SNUK AI does not transfer your personal data outside the United Kingdom except in accordance with the Data Protection Legislation and as described in the Privacy Policy.

14. Communications and Marketing

14.1 By accepting these Terms and subject to applicable Data Protection Legislation and the Privacy and Electronic Communications (EC Directive) Regulations 2003, you consent to receiving communications from SNUK AI via email, SMS, WhatsApp, and push notifications. These may include programme updates, progress reports, educational content, and Recommended Product suggestions.

14.2 You may opt out of non-essential communications at any time by: (a) clicking ‘unsubscribe’ in any marketing email; (b) replying ‘STOP’ to any SMS; (c) adjusting notification preferences in your account settings; or (d) contacting us at privacy@snuk.ai.

14.3 Opting out of non-essential communications will not affect essential service communications, including account notices, security alerts, and updates to these Terms.

14.4 SNUK AI will never share, sell, or transfer your contact details to any third party for that third party's own marketing purposes.

15. Acceptable Use and Prohibited Conduct

15.1 You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service if you are under 18 years of age;
  • Provide false, misleading, or fraudulent information at any point;
  • Use the Service for any unlawful, harmful, or objectionable purpose;
  • Attempt to reverse-engineer, decompile, disassemble, or otherwise extract or reproduce the source code, algorithms, or models underlying the Service;
  • Use any automated tools, bots, scrapers, spiders, crawlers, or scripts to access, interact with, or extract data from the Service;
  • Record, reproduce, distribute, or publicly share conversations with the AI Agent in breach of clause 12;
  • Harass, abuse, threaten, intimidate, or use offensive, discriminatory, or otherwise inappropriate language in interactions with the AI Agent or towards any SNUK AI personnel;
  • Attempt to gain or facilitate unauthorised access to our systems, networks, or data;
  • Upload or transmit any virus, malware, trojan, or other harmful or malicious code;
  • Interfere with, disrupt, or overburden the Platform or related infrastructure;
  • Circumvent or attempt to circumvent any age-verification, security, or access control measures; or
  • Use the Service in a manner that infringes any third party's rights or that could expose SNUK AI to civil or criminal liability.

15.2 SNUK AI may, without notice and without liability to you, take any action it considers necessary (including suspending or terminating your account) in response to conduct that breaches or is suspected to breach clause 15.1.

16. Disclaimers and Limitation of Liability

PLEASE READ THIS CLAUSE CAREFULLY — IT LIMITS SNUK AI'S LIABILITY TO YOU. NOTHING IN THESE TERMS EXCLUDES OR LIMITS SNUK AI'S LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

16.1 The Service is provided ‘as is’ and ‘as available’ without any representation, warranty, or condition of any kind, whether express, implied, statutory, or otherwise, to the fullest extent permitted by applicable law, including (without limitation) any implied warranty of satisfactory quality, fitness for a particular purpose, or non-infringement.

16.2 SNUK AI does not warrant or represent that: (a) the Service will be available, uninterrupted, timely, secure, or error-free at all times; (b) the AI Agent will at all times provide accurate, complete, current, or reliable information; (c) defects in the Service will be corrected; (d) use of the Service will result in any particular health outcome for you; or (e) any Recommended Product will be effective, safe, or suitable for your individual needs.

16.3 To the fullest extent permitted by applicable law, SNUK AI shall not be liable to you for any: (a) loss of profits, revenue, or business; (b) loss of anticipated savings; (c) loss of data or information; (d) loss of goodwill or reputation; (e) business interruption; or (f) indirect, special, incidental, consequential, or punitive damages, howsoever arising, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if SNUK AI has been advised of the possibility of such losses.

16.4 Subject to clauses 16.5 and 16.6, SNUK AI's total aggregate liability to you under or in connection with these Terms (whether in contract, tort, breach of statutory duty, or otherwise) shall not exceed the greater of: (a) £100; or (b) the total amount paid by you to SNUK AI in the 12 months preceding the claim.

16.5 Nothing in these Terms excludes or limits SNUK AI's liability for: (a) death or personal injury caused by SNUK AI's negligence; (b) fraud or fraudulent misrepresentation; (c) any liability arising under Part 1 of the Consumer Protection Act 1987; or (d) any other liability that cannot be excluded or limited by English law.

16.6 If you are a Consumer, these Terms do not affect your statutory rights under the Consumer Rights Act 2015 or any other applicable legislation.

16.7 SNUK AI is not responsible for the quality, safety, fitness for purpose, or suitability of any product you purchase from a third-party retailer through our affiliate links. Any claims or complaints regarding such products must be raised directly with the relevant retailer.

17. Force Majeure

17.1 SNUK AI shall not be in breach of these Terms nor liable for any delay or failure in the performance of any of its obligations under these Terms if such delay or failure results from a Force Majeure Event.

17.2 SNUK AI shall use reasonable endeavours to notify you of a Force Majeure Event and shall use reasonable endeavours to mitigate the effect of the Force Majeure Event.

17.3 If a Force Majeure Event continues for more than 90 days, either party may terminate these Terms on 14 days' written notice.

18. Safeguarding and Mental Health Support

18.1 If during your interaction with the AI Agent you express, or the AI Agent reasonably identifies, thoughts of self-harm, suicide, or significant emotional distress, the AI Agent will: (a) acknowledge your experience with appropriate care and sensitivity; and (b) direct you to appropriate professional support services.

18.2 Key support services include:

  • NHS 111 (non-emergency medical): call 111 or visit 111.nhs.uk
  • Emergency services: call 999
  • SHOUT text crisis line (24/7): text ‘SHOUT’ to 85258

18.3 The AI Agent is not a crisis service, a mental health service, or a substitute for human clinical support. SNUK AI is not responsible for any outcome arising from your reliance on the AI Agent in a crisis situation. You must seek appropriate professional support.

19. Suspension and Termination

19.1 Without prejudice to any other rights or remedies available to us, SNUK AI may suspend or permanently terminate your access to the Service, with or without notice, if: (a) you breach any provision of these Terms (including clause 5 or clause 15); (b) we are required to do so by law or by the order of a competent authority; (c) we reasonably believe you are under 18 years of age; (d) we reasonably believe you are acting fraudulently; (e) you become insolvent, enter bankruptcy, have a receiver or administrator appointed, or make any arrangement with creditors; or (f) we discontinue all or a substantial part of the Service.

19.2 In the event of temporary suspension, SNUK AI will aim to notify you as soon as reasonably practicable and to restore access promptly once the relevant issue has been resolved.

19.3 You may stop using the Service at any time without penalty. To request deletion of your account and associated personal data, contact privacy@snuk.ai. SNUK AI will process your deletion request in accordance with its obligations under Data Protection Legislation.

19.4 Upon termination of these Terms for any reason: (a) your licence to use the Service and Platform immediately ceases; (b) you must immediately cease all use of the Service; and (c) clauses 11 (Intellectual Property), 12 (Confidentiality), 13 (Data Protection), 16 (Liability), 21 (Governing Law), and any other clauses which by their nature are intended to survive termination, shall continue in full force and effect.

20. Changes to These Terms

20.1 SNUK AI reserves the right to amend these Terms at any time. We will provide you with not less than 14 days' prior written notice of any material changes by email to the address registered on your account and by prominent notice on the Platform.

20.2 Your continued use of the Service following the expiry of that notice period constitutes your acceptance of the revised Terms. If you do not agree with any proposed changes, you must stop using the Service and may request deletion of your account in accordance with clause 19.3 before the revised Terms take effect.

20.3 Non-material changes (including typographical corrections, updated contact details, or clarifications that do not adversely affect your rights) may be made without notice.

21. Governing Law and Dispute Resolution

21.1 These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation (‘Dispute’) shall be governed by and construed in accordance with the laws of England and Wales.

21.2 The courts of England and Wales shall have exclusive jurisdiction to settle any Dispute, subject to clause 21.4.

21.3 If you are a Consumer, you may also bring proceedings in the courts of the country in which you are domiciled, and nothing in this clause 21 affects your rights under applicable consumer protection legislation.

21.4 Before commencing any formal legal proceedings, the parties agree to attempt to resolve any Dispute in good faith through negotiation for a period of not less than 30 days following written notice of the Dispute from one party to the other (‘Escalation Period’). If the Dispute is not resolved within the Escalation Period, either party may proceed to litigation.

21.5 SNUK AI is not currently a member of any alternative dispute resolution scheme. Should you have an unresolved complaint about the Service, you may contact us at privacy@snuk.ai.

22. General

22.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and SNUK AI with respect to the Service and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties relating to the subject matter hereof.

22.2 No Waiver. No failure or delay by SNUK AI in exercising any right or remedy provided under these Terms or by law shall constitute a waiver of that right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy.

22.3 Severance. If any provision of these Terms is found by any court, tribunal, or competent authority to be invalid, unlawful, or unenforceable in whole or in part, that provision shall be deemed severed from these Terms. The remaining provisions shall continue in full force and effect as if the severed provision had never been included.

22.4 Third Party Rights. These Terms do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 for any third party to enforce any term of these Terms, except that a third party who is identified as a beneficiary under a specific provision may enforce that provision to the extent permitted by applicable law.

22.5 Assignment. You may not assign, transfer, sub-contract, or deal in any other manner with any of your rights or obligations under these Terms without our prior written consent. SNUK AI may assign or transfer its rights and obligations under these Terms to any affiliate, successor in business, or acquirer of all or substantially all of its assets, provided it notifies you within a reasonable time of doing so.

22.6 Notices. Any formal notice under these Terms must be in writing and delivered to: SNUK AI Ltd, Woodgate House, 2-8 Games Road, Cockfosters, United Kingdom, EN4 9HN; or to privacy@snuk.ai. Notices will be deemed received: (a) 2 Business Days after posting by first class post; or (b) on the next Business Day after sending by email (provided no delivery failure notification is received).

22.7 Relationship of Parties. Nothing in these Terms creates or implies any partnership, joint venture, agency, franchise, or employment relationship between you and SNUK AI.

22.8 Consumer Rights. If you are a Consumer resident in the United Kingdom, you have statutory rights under the Consumer Rights Act 2015 and other applicable consumer protection legislation which may give you rights beyond those set out in these Terms. Nothing in these Terms purports to exclude, restrict, or modify those rights.

24. Consent Summary — Onboarding Declaration

By ticking the confirmation box and submitting the onboarding form, you confirm that you have read, understood, and agree to the following:

  • I understand that the Service uses an AI-generated coaching agent and does not constitute a medical service.
  • I consent to SNUK AI communicating with me via email, SMS, WhatsApp, and push notifications, and understand my right to opt out at any time.
  • I understand that my conversations with the AI Agent are private and confidential and I agree not to record, reproduce, or distribute them without SNUK AI's prior written consent.
  • I understand that SNUK AI earns Affiliate Commissions when I purchase Recommended Products, and that this is how the free Service is funded.
  • I understand that the Service is not a substitute for professional medical advice and I will consult my GP or a qualified healthcare professional for any health decisions.
